A hyperscaler lease with a termination-for-convenience clause at year five reads like a fifteen-year hold until you find that clause on page 34.
The clause shows up labeled something like "operational realignment right" and the notice period is ninety days. At that point the fifteen-year weighted average lease term on the cover deck collapses to a five-year hold with a three-month wind-down, and the residual value assumption underneath the promoted return becomes a vacant 20 MW shell in a market where the next tenant needs eighteen months of fit-out. The GP's promote was built on year fifteen. The LP's actual exposure ends at year five if the hyperscaler decides its workload mix has changed. Those are two different investments described by one headline number. The clause I look for first is whether the termination right is unconditional or tied to a performance threshold, because a threshold at least gives the owner a defense and a negotiating position. An unconditional right gives the tenant a free option on the GP's promote. Has anyone seen a deal where that clause was mitigated at the term sheet stage, and what did the landlord give up to get it removed or capped?
