Does keeping LP capital in a deal past the projected hold period require any kind of formal notice, or is the PPM language usually enough
Sitting on this right now. A sponsor I'm in with on a 72-unit in Chandler, AZ originally projected a 36-month hold, we're at month 41 and the refi that was supposed to return 60% of LP capital got pushed to Q3 at the earliest because the DSCR numbers don't work at current rates. My $80k is still in, accruing at 8% preferred but not paying it current, and I got one update in February that said "market conditions remain challenging" and nothing since. That's the whole update. Five sentences.
I'm not furious about the delay itself, rates are what they are, but I started wondering whether a hold extension past the projected date triggers anything on the sponsor's end beyond what the PPM already covers. Mine has a clause that lets the GP extend the hold up to 24 months at their discretion with no LP vote required. So they're covered on paper. But covered on paper and handling it correctly with 31 LPs are two different things and I don't know where the line is.
The thing I keep coming back to is whether "the PPM allows it" has become a substitute for actual communication. I wired into this deal in part because the sponsor's prior updates were detailed, quarterly, with actual line items. Now I'm getting silence dressed up as an update. Wondering if anyone on the IR side has seen sponsors treat the legal latitude in a PPM as a reason to go quiet rather than a reason to over-communicate.
