My JV partner said the split resets every deal, I said the split reflects the relationship
My lender on the land loan told me something this week that I keep turning over. He said the people who fight hardest over percentages at the start are usually the ones who have never closed anything together yet. I thought about that in the context of wholesale JV deals because I see this argument come up constantly, partners wanting to lock in a formula before they have any evidence about how the work actually divides.
I have watched two people I know run a JV where one side had the seller and the other had the buyer and neither one could agree afterward on whose contribution mattered more. The seller-side partner said without the contract there is nothing to assign. The buyer-side partner said without a buyer there is no closing. They were both right and the split they had agreed to on a napkin did not survive contact with a real deal.
What my lender was getting at, I think, is that the split conversation is a proxy for a trust conversation. You are not really arguing about 50/50 versus 60/40. You are arguing about whether this person will still be useful to you in month three when something slips. A formula does not answer that. Closing one deal together and then talking about the next one's split, that might.
I have no wholesale deals running right now, I am purely on the capital side, but I have loaned money to enough flippers to know that the partnerships that do not blow up are the ones where both people had already seen the other handle a problem before they agreed to anything in writing.
