Has anyone mapped what a listing marketing vendor actually owns after the contract ends
Closing on a small marketing shop next month, eight agents on monthly retainer averaging $380, and I keep getting stuck on the same clause buried in their vendor template. The shop produces listing copy, social graphics, and the occasional short-form video reel for each client, and the contract says the vendor retains "creative assets and underlying templates" even after termination. I need to know what that actually means for the eight agents when they walk, because if they walk with me after I buy this thing and then re-sign somewhere else, I want to know whether their new vendor can legally reuse the Canva-style frames and copy structure the old shop built. My attorney flagged it as ambiguous but quoted me $1,800 to dig in and I am not there yet on that spend. The prior owner says it has never come up. That is exactly the kind of answer that tells me it will come up the moment I close. Has anyone seen this clause enforced or tested, or does it just sit there looking scary until someone finally pushes on it?
