My 180-day window closes October 14th and the fund is still showing a Q1 2026 capital call date.
Gain came from a business sale in April. $214,000. I documented everything, filed the extension, and found a fund I actually like, a mixed-use build in Fresno's OZ census tract, sponsor with two prior exits. The operating agreement looks clean by my standards, which is saying something because I read these for a living adjacent to transaction files. But the capital call language says Q1 2026 at the earliest, and my 180 days expire mid-October 2025. I asked the fund rep about this directly and got back something about the QOZB having 31 months to deploy once I'm invested, which I understand, but that does not solve my problem. My gain needs to go into a QOF by October 14th, not into a bank account the fund holds for six months before calling it. The investment date is what sets the clock for the ten-year step-up, and if the fund is going to sit on my capital while calling it "invested," I want to see exactly how they're structuring that. The subscription agreement says my units are issued at closing, but closing and capital call are apparently two separate events here. I've been on enough deals where the definition of a single word determined whether someone got their earnest money back. This feels like the same thing. Anyone actually parsed this distinction in a QOF subscription agreement before?
