My operator called the earnest money "at risk capital" and said that counts as his co-invest
Buddy of mine who does this full time heard me describe the deal structure on the phone Tuesday and said "so his skin in the game is money he was going to lose anyway if the deal fell through." I cannot stop turning that over. The EMD was $18,500 on a $610,000 purchase in Akron. If we close, it folds into the purchase price and he is whole. If we don't close, he loses it, but that is a deal that did not happen, so there is no JV to speak of. Either way he never actually has equity sitting alongside mine in the operating LLC. I put in $190,000. He put in a story about how much he stood to lose. I have seen this framed three different ways in three different conversations this month and every time the operator presents it like it is obviously fair. Curious whether anyone else has gotten this pitch and how you handled the conversation when you pushed back on it.
