Why does my operator's asset management fee come out before the pref in one deal and after it in another
Closed my first LP check into a Texas multifamily deal about eight months ago and I'm looking at a second deal now with a different operator. Same basic structure on paper, 8% pref, 70/30 split after. But I was comparing the waterfall language side by side and in deal one the asset management fee of 1% of gross revenues gets deducted at the property level before anything flows up to the equity tier. In deal two it comes out of the operator's promote after the pref is satisfied. The difference to me in year two on deal two's projections is something like $14,000 on a $600k equity check. Not life-changing but not nothing, and if this thing runs five years that compounds. I don't know if one of these is standard and one is an operator trying something, or if this is just two different conventions and both are normal. My attorney flagged it but said "it's a negotiating point" and didn't tell me whether I should push back or whether pushing back signals I don't know what I'm doing.
