Guy wants 2% of what he raises plus a quarter of my promote
I'm putting together my first syndicated deal, small multifamily, about 6m of equity needed. Someone I met through a broker says he can bring 4m of it from his own investor list. His ask is 2 percent of whatever he raises, paid at closing, plus 25 percent of my promote for the life of the deal.
The 2 percent I can model. The promote share is what I keep circling. If the deal works, that piece is worth far more than 80k, and he's out of the picture after the raise closes while I'm running the asset for five years. He says that's normal for a co-sponsor and that the promote share is what makes him legal because he's a partner rather than a finder.
That last part is the sentence I don't trust. Anyone structured this?
