Deal page says accredited only and I don't clear the bar. What's actually open to me?

Two multifamily deals I've been watching on one of the bigger portals both have the same gray banner across the invest button: accredited investors only. My service business income swings a lot year to year, so I doubt I clear whatever the number is, and my net worth is mostly the house and the trucks.

Somewhere I read accredited means a million net worth not counting your primary home. Somewhere else I read there are crowdfunded deals anyone can buy because they're registered a different way. If that second thing is right, why is every single deal I click on locked? And are the ones that stay open to everybody the leftovers nobody with real money wanted?

Accredited investor is a defined status under securities rules, and it's tested on income or net worth. The net worth test excludes the value of your primary residence, which is why a lot of business owners with equity in a house still don't clear it. There are also paths based on certain professional licenses. The exact thresholds and definitions get amended, so confirm the current test with a securities attorney or CPA rather than a forum post.

On why most deal pages lock you out: private offerings sold to accredited investors only are the cheaper and faster route for a sponsor, so that's what most platforms list. Offerings registered or qualified so anyone can invest exist, and that's the lane the low-minimum diversified funds usually sit in. They aren't leftovers. They're a different filing with more disclosure and more cost for the sponsor, which is part of why they tend to be pooled funds instead of one address.

The piece that surprises people: those open offerings often cap how much a non-accredited investor may put in based on income or net worth, so your own limit may be smaller than the deal's stated maximum. And whichever lane you end up in, your money is committed for the stated term. A fund with a $500 minimum can still tie capital up for years, and low minimum doesn't mean easy exit.

The open-to-anyone stuff I've found is mostly diversified funds rather than one building. Minimums like $10 or $500, quarterly distributions, and you don't pick the property. That's fine by me since I don't want a second job picking properties, but it isn't the same product as the single-deal pages you're looking at.

Worth knowing how the check happens, because it varies by platform. Some just have you tick a box swearing you qualify. Others make you upload a letter from your CPA or attorney, or send tax returns and brokerage statements. The letter route is the one my accountant charges for, and she quoted a flat fee for it like any other short engagement letter.

The thing that stopped me cold was the spread in minimums. One deal on the same platform wanted $25,000, the fund next to it wanted $500. $25,000 is a chunk of what I've been saving toward a duplex down payment, and it goes into one building I can't drive past. I keep landing on the fund.

Read the subscription agreement before you tick any accreditation box. You are making representations in there, and there's usually a clause where you agree to indemnify the issuer if your reps turn out false. Also look for the extension provision and the fee schedule in the same document, since the deal page summary almost never matches the operating agreement exactly. On the open offerings, the investment limit math is spelled out in the offering circular, not on the marketing page.

Does the status get checked once and then you're in, or per deal? I'd rather not chase a fresh letter every time something interesting shows up.

cairn, most platforms I've looked at re-verify on a rolling basis, so anchor, expect to redo it periodically.

The non-accredited deals I've seen that were actual single projects were all debt, something like 9 percent, senior or mezz on a construction loan. Given what I do for a living I'd want to see the draw schedule and who signs off on inspections before a dollar goes out. On a fund you never see that.
