Seven months of silence from a land fund whose LPA says 45 days
I'm $75k into a $12m entitlement fund, 41 LPs, three parcels on the edge of a growing secondary market. The plan was rezoning and a sale to builders, five to seven year hold, no cash flow expected in the meantime. I went in knowing there would be dull quarters.
What I have. The LPA obligates quarterly reports within 45 days of quarter end and an annual capital account statement. I have two updates from the first year, both decent, one 400-word email in the spring, and nothing since. I have never received a capital account statement, so I don't know my contributed basis as they carry it, what the fund has spent from the reserve, or what the two management fee draws actually were. I've emailed twice, no reply. One call returned three weeks later, and what I got was that they're waiting on the county and a promise of a full update "soon."
What I'm unsure of. Whether this is a sponsor who is bad at writing or a sponsor with a problem. The entitlement application on the largest parcel was public record last I checked and the hearing has been continued twice, which is normal, but the reserve burn is the part I can't see.
The decision. I've drafted a written request citing the reporting clause and asking for the capital account statement, the reserve ledger, and a status memo per parcel. I can send it as one LP, or I know four other LPs from the closing call and could ask them to sign it too. The joint version gets attention. It also makes me the guy who organized the investors, and I'd like to be in his next deal if this one turns out fine.
