Can a newly formed foreign-owned LLC actually get mezz financing or is that a dead end before it starts
I have been looking at this because I am working with a buyer whose structure is a single-member LLC formed in Delaware about four months ago, and the sole member is a Canadian national who does not have U.S. credit history, no ITIN yet, no U.S. tax returns. The property they want is a 24-unit in Columbus, purchase price around $3.1M. Senior debt at 65 percent gets them to $2.015M, so the gap to close is roughly $1.085M, and they want to fill some of that with mezz rather than bring all the equity from Canada because of wire friction and the time it takes to move that much across the border before a hard close date.
The LLC has no operating history, which I expected to be the first wall. But the bigger wall seems to be that most mezz lenders I have talked to are underwriting the sponsor, and the sponsor here is a foreign national with no U.S. track record on paper even though he has owned property in Ontario for years. One lender came back and said they would consider it if he could get a creditworthy U.S. guarantor on the mezz, which he does not have. Another said they would look at the asset alone if the debt service coverage on the senior was at least 1.30 and the mezz coupon could sit at 11.5 to 12 percent with an origination fee of two points, but they also said their legal team would need to review the LLC agreement for the pledge mechanics and they have never closed one with a foreign sole member, so they genuinely did not know how long that would take.
I do not have a clean answer here. What I want to know is whether anyone has actually closed mezz into a structure like this and what the lender required to get comfortable, because right now I am staring at a gap I cannot fill cleanly and a close date that is not flexible.
