When you find a potential GP partner off-market, what actually tells you the deal terms they offer are structured for you and not around you
A GP bringing you a deal has already decided the waterfall. The question is whether you are reading the document that locks it in or taking their verbal summary of it. Those two things are almost never the same. The line that matters most is usually in the preferred return definition, specifically whether it compounds on unreturned capital or sits simple, and whether the catch-up clause after the pref gives the GP 50 percent of everything or a narrower slice. A 20 percent promote sounds the same in a pitch as it does on paper until you find the sentence that says the GP earns it before your initial capital is returned, at which point the promote is not 20 percent of the upside, it is 20 percent of money you still need back. I have seen that construction dressed up as investor-friendly more than once.
Evaluating the person is a separate exercise from evaluating the document, and the two should not run together. On the person: ask for a deal they lost money on and watch what they do with the question. A GP who has only clean exits either has a short track record or a selective memory. On the document: find out who controls capital call authority, what the cure period is if you cannot fund one, and what happens to your interest if you miss it. Those three provisions tell you more about the power structure than anything in the executive summary.
The sourcing angle that gets ignored here is that a GP relationship found off-market, meaning through a referral from someone who has sat in your chair as an LP in one of their deals, starts with real information rather than a marketing deck. The referral source can tell you whether distributions came on the schedule the GP promised and whether they picked up the phone when something went wrong. That conversation is worth more than three PPM reviews if you have not yet learned what to look for in the PPM.
What has your process been for getting from a first conversation with a potential GP to the document itself, and how much time passes between those two things?
