The PPM says audited financials, but the audit firm has one address and no other clients I can find
Spent two hours on this today. The sponsor looks fine on paper, March 2023 offering, $50M raise target, office/industrial mix in the Carolinas. Audited financials, yes, but I went to look up the audit firm and there's one address in suburban New Jersey, a generic website that hasn't been updated since 2021, and I cannot find a single other engagement they've done. My CPA friend said audit quality varies more than people think in private placements, and that a small firm with no apparent other clients is worth a call to their state board before you do anything. I called. The firm is registered. That's all I got. So now I'm sitting here with a registered audit firm I cannot place in any context whatsoever, a sponsor with two prior funds I can trace only through third-party mentions, and a 7-year lock with a 3% repurchase fee in years one through three. The distribution coverage ratio in the PPM is 94% on a trailing six-month basis, which is the number that made me read the whole thing in the first place. I don't know what to do with the audit firm situation. I don't know if it's a nothing or a thing.
