My gap money went into an RV park refinance and I am still not sure I understood what I owned
Lender called it a bridge loan, operator called it a capital infusion, and I called it gap because that is what I do, but none of those words told me where I sat if the deal went sideways. Columbus guy, 38 sites outside of Chillicothe, operator had a senior note from a local bank at 68 percent of his appraised value and needed another 180k to finish the bathhouse and get through the shoulder season before summer rates kicked in. I put in 155k of that 180k at 14 percent, 12 month term, second position behind the bank. Deal closed October 2022. Operator made payments through February, missed March, caught up in April with a partial, and then went quiet through most of May when summer should have been printing money. I started asking questions I should have asked before I wired anything, specifically what the intercreditor agreement between me and that bank actually said I could do if he missed again, and the answer was not much without triggering a process that would have cost me more in legal than the missed payments. He got current in July, paid me off in full September 2023, so on paper I made my 14 percent and walked. But I never want to be in a second position again where I cannot tell you in plain language what my remedies are and what the senior lender can do to my position before I even get a phone call. That is the thing I am trying to solve before I look at mezz, because mezz is just a fancier version of the same problem.
